MASTER SERVICES AGREEMENT
This Master Services Agreement ("Agreement") is entered into as of October 1, 2023 ("Effective Date"), by and between TechCorp Inc. ("Client") and ServiceProvider LLC ("Provider").
8. INDEMNIFICATION
Provider shall indemnify, defend and hold harmless Client, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Provider's gross negligence or willful misconduct.AI Note: Standard mutual indemnification. Limited to gross negligence.
9. LIMITATION OF LIABILITY
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. PROVIDER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.Risk Detected: Liability cap is significantly lower than industry standard (12 months).
Net 45 days. Late penalty of 1.5% per month applies.
Capped at 6 months fees. Consider negotiating to 12 months for standard protection.
